Terms of Service
Effective date: July 15, 2026. These Terms form a binding agreement between you and Sounds & Sirens LLC ("Emberel," "we," "us," or "our") for your use of Emberel's websites, applications, messaging channels, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 years old and able to enter a binding contract to create an account or subscribe. You must provide accurate information, protect your credentials, and promptly notify us at [email protected] if you suspect unauthorized access. You are responsible for activity under your account unless caused by our breach of these Terms.
2. What Emberel does
Emberel helps you capture, organize, search, sync, and resurface Sparks, reminders, tasks, notes, checklists, links, voice memos, photos, and other content. Features may operate through the web app, email, SMS, push notifications, voice or photo processing, connected Google services, and compatible assistants.
3. Trial, subscriptions, and automatic renewal
Emberel offers a seven-day trial without requiring a payment card. A paid subscription begins only after you choose a plan and authorize payment through Stripe. Before purchase, checkout shows the price, billing frequency, renewal terms, and how to cancel.
Paid plans renew automatically for successive monthly or annual periods at the then-disclosed price until canceled. By purchasing, you authorize recurring charges to your selected payment method. We will provide a confirmation you can retain and any renewal or material-change notices required by applicable law. Taxes may be added where required. If we change a subscription price, the change applies no earlier than your next renewal after legally required notice.
When a plan describes a feature as unlimited, it means there is no ordinary plan-level usage meter for normal individual use. File-size, security, service-capacity, and automated-abuse safeguards still apply.
4. Cancellation, plan changes, and refunds
You may cancel online at any time through Settings → Manage billing, which opens Stripe's billing portal. Cancellation takes effect at the end of the current paid period unless the portal says otherwise, and stops future renewal charges. We do not require a phone call. Plan changes and any credits or prorations are shown in the billing flow before you confirm them. Our current refund terms are in the Refund & Cancellation Policy.
5. Service communications and SMS
We may send transactional messages needed to operate your account, such as verification, security, billing, reminder, delivery, and service notices. Marketing messages, if introduced, will require any consent required by law and will include an opt-out.
SMS reminders are a core feature. You opt in only through your signed-in account by adding your mobile number at https://app.emberel.com/settings and checking the express-consent box, which is unchecked by default. A first inbound text from that saved number verifies control of the number; it is not a separate opt-in method. Full steps, a public screenshot, and the exact consent language are on our SMS Consent & Messaging Policy page. Consent is not a condition of purchase. Message frequency varies; message and data rates may apply. Reply STOP to opt out, START to opt back in, or HELP for help at any time. Wireless carriers are not liable for delayed or undelivered messages. See the Privacy Policy for details.
6. Your content and permissions
You retain your ownership rights in content you submit. You give Emberel a limited, non-exclusive, worldwide license to host, store, copy, transmit, parse, transcribe, run OCR on, index, organize, and otherwise process that content only as reasonably necessary to provide, secure, maintain, and improve the Service and to carry out actions you request. This permission ends when the content is deleted from our systems, subject to the retention periods and legal exceptions described in the Privacy Policy.
You represent that you have the rights and permissions needed to submit your content and that doing so does not violate law or another person's rights.
7. AI and automated features
Emberel uses automated systems to interpret captures, suggest structure, transcribe audio, read images, and answer questions from your data. Automated output can be incomplete or wrong. Review important dates, names, reminders, and actions before relying on them. Emberel is not an emergency service and does not provide medical, legal, financial, safety-critical, or other professional advice. Do not use it as the only way to remember time-critical or safety-critical obligations.
8. Connected services
If you connect a third-party service, such as Google Calendar or Google Tasks, you authorize Emberel to exchange the data needed to provide the selected integration. Your use of the third-party service remains subject to its terms and privacy policy. You can disconnect an integration, but doing so may stop synchronization and related features.
9. Acceptable use
You may not use the Service to:
- violate law, another person's rights, or messaging and consent requirements;
- send spam, harassment, threats, malware, or fraudulent or deceptive content;
- access another account or data without authorization;
- probe, bypass, disable, or interfere with security, rate limits, or service operation;
- reverse engineer the Service except where law expressly permits it;
- resell or provide the Service to others without our written permission; or
- use automated means to scrape Emberel content or train an AI system without our written permission.
10. Emberel property and feedback
The Service, software, branding, and materials we provide are owned by Emberel or our licensors and are protected by law. These Terms give you only the limited right to use the Service. If you provide feedback, you allow us to use it without restriction or compensation, but we will not identify you publicly without permission.
11. Suspension and termination
You may stop using Emberel or delete your account at any time. We may suspend or terminate access when reasonably necessary to address fraud, abuse, security risk, nonpayment, legal requirements, or a material violation of these Terms. When practical, we will provide notice and an opportunity to correct the issue. Account deletion is irreversible and removes account data as described in the Privacy Policy.
12. Changes, beta features, and availability
We may add, change, suspend, or discontinue features. Beta or preview features may be less reliable and may change without notice. We will give reasonable notice when a material change significantly reduces a paid Service, unless urgent security, legal, or technical circumstances prevent it. We do not promise uninterrupted operation or delivery of every reminder, email, text, push notification, or synchronization event.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." EMBEREL DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMBEREL AND ITS OWNERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. EMBEREL'S TOTAL LIABILITY ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID EMBEREL DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100. These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.
15. Indemnity
To the extent permitted by law, you will defend and indemnify Emberel from third-party claims arising from your unlawful use of the Service, your content, or your material violation of these Terms. This does not require you to indemnify Emberel for our own misconduct.
16. Governing law and courts
New York law governs these Terms, without regard to conflict-of-law rules. Any claim that is not eligible for small claims court will be brought exclusively in the state courts located in Westchester County, New York, or the United States District Court for the Southern District of New York, and each party consents to those courts. Nothing here prevents either party from seeking emergency relief for misuse of intellectual property or unauthorized system access. These Terms do not require arbitration.
17. General terms
These Terms, the Privacy Policy, and policies expressly incorporated here are the entire agreement about the Service. If a provision is unenforceable, the rest remains effective. A delay in enforcement is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, financing, reorganization, or sale of the business. We are not responsible for delay caused by events beyond our reasonable control.
18. Changes to these Terms
We may update these Terms. We will post the new effective date and provide notice of material changes through the Service, email, or another reasonable method before they take effect when required. If you do not agree to a material change, you may stop using the Service and cancel before it takes effect.
